Illegal insider trading is the buying or selling of a security in breach of a fiduciary duty or other relationship of trust and confidence, with knowledge of material, non-public information about the security. The Securities Exchange Act established the Securities and Exchange Commission (SEC) and formed the basis of regulating American financial markets.
